Governance & Commercial Structure
Financial Continuity (Escrow Deposit) To ensure stability and mutual commitment, all SAMZENITE™ engagements are secured by a Financial Continuity Model.
Requirement: All commercial contracts require an Escrow Deposit equivalent to 3–6 months of the projected fees.
Why: This secures sales bandwidth and ensures SKYAZEN™ can focus purely on growth, unencumbered by collections volatility.
Legal Framework (Back-to-Back Liability) We operate on a "One Face to the Customer, Clear Hands on Delivery" model.
The Face (MSA): All Master Services Agreements (MSA) with the US end-customer are contracted under SKYAZEN™, providing the client with US-entity security.
The Hands (Liability): While SKYAZEN™ holds the contract, the Alliance Partner bears 100% of the liability for Security, IP, Execution Quality, and Performance via a strict indemnification structure.

HOW IT WORKS
The Hunt (Skyazen Led): Our US sales teams identify and pursue high-value opportunities.
The Selection (Merit Based): Once a compelling opportunity is identified, we select the specific Alliance Partner best suited for the mandate based on capability, cost, and culture.
The Engagement (Post-Win): Engagement begins only after the deal is won. We activate the Partner immediately using pre-agreed Rate Cards, ensuring zero friction in mobilization.
DELIVERY & GOVERNANCE HIERARCHY
Delivery Priority: The primary delivery engine for all Skyazen mandates is our own Micro-GCC™. However, for specific niche capabilities or capacity surges, we strategically route work to our Enterprise Partners.
Global Governance: Regardless of who delivers, the program governance is managed globally by SKYAZEN™. We retain the "Control Tower" view to ensure quality and consistency.
Contractual Structure:
MSA: The Master Services Agreement is always between SKYAZEN™ and the End Client.
Liability: Partner liability is "Back-to-Back." If you deliver the work, your liability aligns 100% with SKYAZEN’s commitment to the end client.
COMMERCIAL & OPERATIONAL MODEL
Payment Terms (Pay-When-Paid): Our commercial structure is simple and transparent. We operate on a "Pay-When-Paid" basis—SKYAZEN™ releases payment to the Partner immediately upon receiving funds from the client.
Agreed Rate Cards: All engagements are governed by pre-negotiated rate cards to ensure commercial speed.
STRATEGIC FLEXIBILITY (The Transition Rights)
To ensure long-term alignment with business goals, SKYAZEN™ reserves specific strategic rights during the engagement:
Transition to Micro-GCC: We reserve the right to transition the delivery model from the Partner to a Skyazen Micro-GCC™ at any point for specific business reasons (per agreed terms).
Resource Transition: In specific scenarios, Skyazen may request the transition of key delivery resources to ensure continuity.
